These Terms govern your use of the website nexviatech.in (the "Site") and any services you engage from Nexvia. By using the Site, submitting an enquiry, or paying a deposit, you accept these Terms. If you don't agree, please don't use the Site.
1. Who we are
"Nexvia", "we", "us", "our" refers to Nexvia, a sole proprietorship of Harsh Bagrecha, registered in Hyderabad, Telangana, India.

2. Services
We provide custom website design, web and mobile application development, and business automation services for SMBs. Specific scope, deliverables, milestones, and timelines for each engagement are agreed in a separate written proposal or statement of work ("Project Agreement").
Information, prices, and timeframes shown on the Site are indicative. Final commercial terms apply only after we issue a written quote and you accept it in writing (email is sufficient).
3. Quotes, invoices, and payment
- All prices are in Indian Rupees (₹) and are exclusive of GST unless stated otherwise. GST at the prevailing rate (currently 18%) is added to invoices.
- Most engagements use a milestone-based payment structure: typically 50% advance to start, balance on agreed milestones or final delivery.
- Invoices are due on receipt unless agreed otherwise. Late payments accrue 2% per month after a 7-day grace period.
- Payments are accepted via Razorpay (UPI, card, netbanking) or direct bank transfer to the account specified on the invoice.
- The discovery deposit (₹1,000) collected via the website is governed by our Refund Policy.
4. Client responsibilities
Project timelines depend on timely cooperation from you. Specifically, you agree to:
- Provide accurate, complete project information, content (text, images, brand assets), and access (hosting, analytics, ad accounts) needed for delivery.
- Review deliverables and provide consolidated feedback within 5 business days of submission.
- Designate a single decision-maker for the project to keep feedback consistent.
- Hold final responsibility for the legality, accuracy, and licensing of any content, copy, or assets you provide to us.
If feedback or required inputs are delayed by more than 14 days, the project may be paused and additional re-mobilisation fees may apply.
5. Intellectual property
- Your content — all logos, copy, images, and data you provide remain your property.
- Custom deliverables — once you've paid the final invoice in full, you receive a perpetual, royalty-free licence to use the websites, code, designs, and automations we build for your business. Source code is handed over on completion.
- Our pre-existing IP — frameworks, libraries, internal tooling, design systems, and methodologies that pre-date or sit outside your project remain Nexvia's property. You receive a licence to use them as embedded in your deliverables, not the IP itself.
- Showcase rights — we may showcase the work we did for you (including screenshots, anonymised metrics, and your name/logo) in our portfolio, on the Site, and in marketing materials, unless you opt out in writing before project kick-off.
- Third-party assets — fonts, stock images, plugins, and SDKs used in deliverables remain subject to their respective licences.
6. Confidentiality
We treat any non-public information you share during an engagement (business plans, customer data, internal processes, financials) as confidential and use it only to deliver the project. We don't share it with third parties except sub-processors we use to deliver the project (see Privacy Policy). This obligation survives termination of the engagement. We expect the same in return — please don't share the proposals, designs, or code we share with you outside your team.
7. Warranties & disclaimers
We deliver work using reasonable skill and care consistent with industry standards. The Site and our services are provided "as is" without express or implied warranties beyond those required by law. We don't guarantee specific business outcomes (rankings, leads, revenue) since those depend on factors outside our control.
Bug fixes for our deliverables are covered free for 30 days post-launch. After that, ongoing support is offered via a separate maintenance retainer.
8. Limitation of liability
To the maximum extent permitted by Indian law:
- Our total aggregate liability for any claim arising from your engagement with us is capped at the total amount you have paid us under that specific engagement in the preceding 6 months.
- We are not liable for indirect, incidental, consequential, or punitive damages — including loss of profit, business interruption, data loss, or reputational harm.
- Nothing in these Terms limits liability for fraud, gross negligence, or anything else that cannot be limited by law.
9. Indemnity
You agree to indemnify and hold us harmless against any claims, damages, or costs arising from (a) content you provide that infringes third-party rights, (b) your use of the deliverables in a way that violates law, or (c) your breach of these Terms.
10. Termination
Either party may terminate an engagement with 14 days' written notice. On termination:
- You pay for all work completed and accepted up to the termination date, plus any non-cancellable third-party costs we've committed.
- We hand over completed deliverables corresponding to amounts paid.
- Refunds (if any) follow our Refund Policy.
We may terminate immediately for non-payment after a 7-day cure notice, breach of confidentiality, or unlawful use of our work.
11. Governing law & jurisdiction
These Terms are governed by the laws of India. Any dispute arising from these Terms or our services is subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana. Before approaching courts, both parties agree to attempt resolution through good-faith discussion (and, if needed, mediation) for at least 30 days.
12. Force majeure
Neither party is liable for delays or failures caused by events outside reasonable control — natural disasters, internet/utility outages, government action, pandemics, or major third-party platform failures. Affected obligations are suspended for the duration of the event.
13. Changes to these Terms
We may update these Terms as our business evolves or laws change. The "Last updated" date at the top will reflect any revision. Continued use of the Site or our services after changes are posted means you accept the updated Terms.
